This website is operated by Government Services Exchange (GSE). We are a third-party Government Contracting and placement firm that assists businesses in getting connected with Federal opportunities. Throughout the site, the terms “we,” “us,” and “our” refer to GSE. Government Services Exchange offers this website, including all information, tools, and services available to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and purchasing something from us, you engage in our “Service” and agree to be bound by the following Terms of Use, Terms of Sale, and any other terms or conditions. These Terms and Conditions apply to all users of the site.

Please read these Terms and Conditions carefully before accessing or using our website. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.

We reserve the right to update, change, or replace any part of these Terms and Conditions by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

These Terms and Conditions are effective unless terminated by either you or us. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our services or when you cease using/visiting our site.

Terms of Sale

These Terms of Sale act as an agreement between you (the client) and GSE that we will provide the services you purchase, and you will adhere to the conditions set forth. By acceptance of this agreement, you are bound to its terms and conditions.

By agreeing to these Terms of Sale, you represent that you are at least the age of majority in your state or province of residence. You may not use our services for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction in the use of the Service.

We reserve the right but are not obligated to limit our services’ sales to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. All descriptions of services or service pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any service at any time. Any offer for any service made on this site is void where prohibited.

Client acknowledges that GSE will begin services within 48 hours of receipt of payment. Client may cancel services within 48 hours of purchase.

A portion of the total service fee (a minimum of 30%) constitutes a non-refundable Retainer Portion (“Retainer”). This Retainer compensates GSE for the immediate allocation of staff, administrative and project management setup, and project mobilization activities necessary to commence services purchased.

In the event Agreement is terminated prior to completion of services purchased, Client may be eligible for a prorated refund of feed paid, calculated based upon the portion of work completed by GSE as of the effective date of termination. The value of work completed shall be calculated using the applicable hourly rate(s), milestone value(s), or percentage of project completion, as reasonably determined by GSE. The non-refundable Retainer and direct costs incurred (i.e., credit card processing fees) shall be deducted from the refundable balance.

Notwithstanding any other provision of this Agreement, Client acknowledges and agrees that any entitlement to a refund shall expire ninety (90) days after the date of purchase for GSA & Certification application assistance services. After the applicable period has expired, all payment shall be deemed fully earned by GSE and non-refundable for any cause or reason whatsoever. Services purchased but not used within the applicable ninety (90) day period are not eligible for a refund; however, they may be transferred to other services GSE offers or comparable benefit and value.

GovExpert database services billed on a monthly access basis may be cancelled at any time. Annual or semi-annual GovExpert database Agreements shall be considered fully executed and non-cancellable, once access credentials or permissions to the database have been issued. Due to the sensitive nature of information contained within the database that cannot be ‘returned’ once accessed, refunds or cancellations are not permitted after access has been granted.

SAM Registration assistance services are non-refundable.

GSE provides a range of business, marketing, and consulting services. If we identify a service better suited to your business needs, we may transition to that service to ensure the best possible outcome.

Bid Proposals:

  • GSE will provide research, consult, prepare, and assist the client in submitting bids/solicitations of their choice. Preparing a solicitation includes, but is not limited to, gathering company information, such as tax documents, experience, insurance, pricelists, technical writing, and compiling required documentation. Client understands and acknowledges that a minimum of ten (10) business days’ notice is required from the date of selected solicitation until the bid submission due date; dependent upon the complexity of the selected solicitation, we may require additional continuance. Client also understands and acknowledges that proposal writing services are time-sensitive; as such, all writer-mandated milestone response deadlines must be met by client; failure to meet these deadlines may result in cessation of work on said proposal.

SAM Registrations:

  • The client acknowledges that your Federal Contracting Consultant reviewed all of the FAR and DFAR questions with you or on your behalf. You additionally allow Government Services Exchange to submit your given answers. Conversations may be recorded for accuracy.
  • SAM Registration includes a Dynamic Small Business Search (DSBS) profile, which makes businesses visible to government contracting officers and prime contractors seeking subcontractors.
  • SAM Registration is valid for 1 year from the date the registration is completed or renewed. SAM Registration will be updated/renewed at no additional cost through completion of purchased services that require an active SAM registration for fulfillment. Outside of such parameters, there is an additional fee for SAM renewal assistance services, unless extended initial SAM Registration services (2 & 3 year) are purchased at inception of services.

GovExpert Database:

  • The GovExpert Database is designed to deliver customized bid opportunities from various Federal, State, and local governments. Additionally, provide access to government marketing, research all Government Purchasing agent’s contact information, provide government contract award history, expiring government contracts, and award forecasting for contracts.
  • After an initial free 30-day trial period, if client chooses to continue utilizing the database, a monthly $199 subscription fee will be assessed. Client may cancel at any time via email to: [email protected] to discontinue membership. You will not be eligible for a prorated refund of any portion of your current monthly access fee. All fees paid prior to cancellation or termination are non-refundable.

Certifications:

  • When it comes to Government certifications, you understand that additional fees may be incurred through the certification process. You also understand that these additional fees are not associated with GSE’s processing, consulting, and services fees. You agree to take financial responsibility for the additional costs to complete the certification process. These fees are charged directly from the Government.
  • You understand GSE has no control over the application review process of the Federal Government and/or 3rd Party Certifying Agencies and the potential and/or likelihood of receiving requests for clarification and/or additional documentation.
  • You understand that GSE has no control over the length of time that the Federal Government and/or 3rd Party Certifying Agencies take to review, clarify, request additional documentation, and/or award a certification.

Business certifications offer several benefits that can help companies grow and compete more effectively in the governmental and private sector markets, including: access to contracts, preference in procurement, networking opportunities, training and development, credibility and trust, and marketing advantages. Client understands and acknowledges that the business certification application process requires the provision of agency- mandated documentation required for application evaluation and award determination. Client agrees to provide required documentation via GSE’s secured document portal. All submitted documents are handled with the utmost confidentiality; once the application is submitted, certification agencies can view the application during their review only if they explicitly have the required level of user access by the agency.

GSA/MAS Schedule

  • The client acknowledges that its most recent year’s sales exceed ($25,000.00) for the products or services to be included in the application.
  • It is represented that any products proposed to be included in the GSA Schedule application are sourced within the United States unless otherwise noted. Additional countries of product origination, if any: The client understands and agrees that this contract is for the agreed-upon GSA schedule and includes all services provided by GSE needed until the GSA schedule is awarded. The client’s initial responsibilities after award are uploading terms and conditions and SIP uploads. You understand that these additional responsibilities are not associated with GSE’s processing, consulting, and services fees.
  • The parties acknowledge that if a GSA contract is awarded to the client, the GSA agrees to order a minimum of $2,500 during the contract term. Under GSA regulations, if a contractor receives total orders in an amount less than $2,500 during the contract term, the GSA will pay the difference between the amount ordered and the $2,500 minimum. The client agrees that if a contract is awarded and the contract receives total orders during the five-year term of the contract awarded by the GSA in an amount less than the amount paid to Government Services Exchange for application assistance, we will pay the contractor the difference between the $2,500 minimum guaranteed under the GSA contract and the cost of the application assistance up to a maximum amount of $2,500.
  • Payment of any amount due under this clause shall be contingent upon the Contractor’s timely submission of reportable sales and fees, and receipt of the close-out sales report pursuant to GSAR clause 552.238-80, Industrial Funding Fee and Sales Reporting. The guaranteed minimum applies only if the contract expires, or contract cancellation is initiated by the Government. The guaranteed minimum does not apply if the contract is terminated for cause or if the contract is cancelled at the request of the Contractor.

Client Success Processes: GSE’s primary goal is to ensure that every client achieves their desired outcomes and experiences maximum value from our services. Together with our clients, we establish measurable goals and develop a success plan outlining milestones, timelines, and responsibilities.

  • To qualify for any claim under our Service Guarantee, client must have
    fulfilled all payment obligations and agrees to the following communication guidelines
    during fulfillment of purchased services. Client also agrees to adhere to contractual
    Agreement language. Additionally:

    • Client will respond to emails/phone calls from assigned service representative(s) within 24-48 hours, unless client notifies representative(s) of out of office dates or unforeseen circumstances that prevent them from responding.
    • Client agrees and understands they must forward all .gov & .mil emails regarding their registration/certification/GSA application to their assigned processor within 1 business day of receipt.
    • Client agrees to work within stated timelines to provide responses/information for meeting agency-mandated deadlines.
    • Client agrees to provide all information necessary to complete application assistance services according to agency standards.
    • Client agrees to proactively market their business and engage in bid opportunities received (GovExpert). This is evidenced by the client with proof of the following:
      • Outreach emails with client’s Capabilities Statement to a minimum of 150 Contracting Officers/Prime Contractors/agency POCs
      • Client submission of a minimum of three (3) responses to governmental Sources Sought, RFIs, and RFPs.
      • Outreach emails to potential teaming partners for contract opportunities (minimum of twenty (20) outreach efforts).

GSE maintains a safe, respectful, and professional environment for its employees, contractors, and representatives. Both Client and employees understand and mutually agree to conduct themselves in a manner that does not interfere with communication, collaboration, or workflow, and that supports a professional and respectful working relationship.

In the event of Client concerns or disputes, GSE will make concerted efforts to address and resolve such matters in good faith and in a timely manner.

GSE will not tolerate any hostile, aggressive, or combative behavior toward the Company or its personnel; engagement in any unfounded or reckless accusations of wrongdoing, misconduct, or unlawful activity against the Company or its employees; repeated unreasonable demands; refusal to cooperate in good faith; or any actions or communications that create an unsafe, hostile, or unprofessional environment for Company personnel.

GSE reserves the right to immediately terminate this Agreement, upon notice to Client, and is under no obligation to issue a refund.

Over decades, we have ironed out a process proven to work in the Government marketplace from registrations to GSA/MAS Schedule placements. By agreeing to these terms and conditions, you give us permission to follow our approach to provide you with the best service possible. That process is as follows:

Research (25%)

Once your contractual agreement is complete and payment confirmation is received, GSE immediately begins work on your account. This initial phase involves industry research related to your organization, including but not limited to: verifying online business registration(s) with the Secretary of State, online documentation reviews, and an organizational website review. This research allows GSE to prepare direction for our clients’ path of success with services purchased.

Onboarding (25%)

You’ll receive a call to schedule a convenient time to go over your capabilities with a specialist. This is important as we will review all of your information given so far, and welcome you to the GSE family.

Collections (25%)

GSE will review and select the appropriate information that we need from your firm. This information will be collected and presented in an application. You will also be sent a checklist with descriptions of the documents that we’ll need you to gather based on the service we are providing for you. We cannot move forward without this information.

Review & Submittal (25%)

Your file will go through several review processes. The first review will happen once we have all the collectible information on the first checklist we send you. We will have the review team check the file for any mistakes. For the next review, if anything is missing or in the wrong format, your file will be returned to a processor to be corrected. This is a back and forth process that takes time.

We will review your entire application and all supporting documents with a fine-tooth comb one last time. Once submitted, you’ll receive various emails/calls notifying you of all the progress as it occurs during submission.

Prices for our products are subject to change without notice. We also reserve the right to change/discontinue services at any time.

General: GSE shall not be liable for any delay, failure, or inability to perform its obligations under Client agreement, or for any damages, losses, or costs incurred by Client, to the extent of such delay or failure results from causes beyond GSE’s reasonable control. Such causes include, but are not limited to, acts of God, natural disasters, pandemics, cyber incidents, war, terrorism, or actions, inactions, or policy changes by any Federal, state, or local government or regulatory authority.

Without limiting the foregoing, Client expressly acknowledges that the temporary or permanent suspension, shutdown, deactivation, modification, or discontinuation of any government contracting or certification program – including but not limited to the U.S. General Services Administration (GSA) programs, System for Award Management (SAM) registrations, Small Business Administration (SBA) certifications, or any Federal or state vendor registration or procurement platform – shall constitute a Force Majeure Event as it relates to GSE’s performance.

Specific Service Events

GSA Schedule Modifications: The GSA may, at its sole discretion and without prior notice, modify, restructure, or eliminate Special Item Numbers (SINs) through Schedule Refreshes or other administrative updates. Such changes are outside the control of GSE and may affect the ability to compete, submit, or maintain a GSA Schedule application/contract under the originally contemplated SIN(s). In the event that a SIN is relevant to the client’s application is eliminated, significantly revised, or rendered inapplicable due to GSA Schedule Refresh or policy change, GSE shall not be help liable for any delay, failure to submit, or inability to proceed with the application as originally scoped. GSE will use reasonable efforts to:

  • Notify the client of the relevant change(s) as soon as practicable;
  • Proposed alternative strategies or applicable SIN(s), if available; or
  • Amend this agreement to provide open bid market services for government contracting opportunities

GSE shall not be responsible for any direct or indirect damages, losses, or claims arising from the GSA’s modification or removal of SINs, nor shall such changes constitute a breach of this agreement. For purposes of this agreement, the elimination or modification of applicable SINs by GSA shall be deemed a Force Majeure Event. If such an event renders performance impracticable or impossible, GSE shall be excused from performance without penalty and GSE or client may select alternative services designed to achieve similar objectives. 

Certifications: Changes to certification programs – such as alterations in eligibility criteria, suspension or termination of a certification program, or regulatory interpretations by the certifying agency – that render Client temporarily or permanently ineligible to apply for, obtain, or maintain a certification shall constitute a Force Majeure Event. In such cases, GSE shall not be deemed in default or liable for nonperformance or delay arising from Client’s loss of eligibility, suspension of the applicable certification program, or the certifying agency’s refusal to process or approve Client’s application. GSE shall use reasonable efforts to assist Client in identifying alternative certification paths or select alternative services designed to achieve similar objectives. 

Client services purchased will be monitored for activity and documentation status. “Activity” refers to any meaningful engagement from client, including submission of required documentation, responses to requests, or communication regarding application progress.

If no client activity is recorded for ninety (90) consecutive days, the client will receive a Notification of Inactivity:

  • The notification will inform client that their service remains incomplete or inactive.
  • Client will be reminded of any missing or outstanding documentation needed to proceed.
  • Client will have an additional ninety (90) days from date of notification to respond or provide the required documentation.

If client does not respond or provide the required documentation within 90 days following the Notification of Inactivity:

  • The service will be placed in “On Hold” status.
  • To continue the service, the client must proactively contact GSE to request reactivation.

Upon client request for reactivation:

  • GSE will review service status and determine whether updated information or documentation is required.
  • A reactivation fee may apply when a purchased service has been inactive for an extended period and certain documentation originally provided has expired, become outdated, or is no longer valid under current requirements. This fee covers administrative costs associated with:
    • Reopening and reassessing the application or service file;o Verifying client’s current information and eligibility;
    • Replacing or updating expired documents (such as identification, financial statements or other time-sensitive information);
    • Ensuring compliance with current policies, standards, and regulations.
    • The reactivation fee is intended to offset the additional time and resources required to bring an inactive or outdated file back into compliance with current requirements.

Government Services Exchange (“GSE”) may provide certain services through affiliated entities, specialized divisions, or strategic partners. One such division is GovSupport Experts, which serves as the official Processing Department for GSE.

GovSupport Experts is a wholly owned subsidiary and operational arm of Government Services Exchange. It was established to provide specialized processing services not only for GSE clients but also for other external agencies and businesses within the government contracting ecosystem. Creating this division allows us to maintain a higher degree of operational focus, scalability, and brand distinction, while continuing to meet the evolving needs of our clients and partners.

GovSupport Experts is responsible for—but not limited to—the following functions:

  • Preparation and submission of registration, certification, and GSA Schedule applications
  • Documentation collection and review
  • Government compliance and audit support
  • Communication with government agencies on behalf of clients
  • Administrative and back-office processing required for the completion of client engagements

Though GovSupport Experts may appear as a separate brand for operational and strategic purposes, all work performed under its banner is fully governed, directed, and quality-controlled by GSE. Clients can rest assured that there is no disruption in service quality, legal authority, or accountability.

  • By engaging the services of GSE, clients understand and agree to the following:
  • GSE may delegate certain processing, administrative, or fulfillment-related tasks to GovSupport Experts.
  • Communications, documentation, or requests may be issued under the GovSupport Experts name while still falling under the scope of the original agreement with GSE.
  • All actions taken and documents produced by GovSupport Experts are held to the same legal validity, confidentiality, and data protection standards as those performed directly by GSE.
  • GSE remains solely responsible for the fulfillment, oversight, and results of all client services, regardless of whether tasks are completed internally or through GovSupport Experts.

GSE assigns our Government Database team to train and work with the client throughout the application process to prepare the client once their certification/registration is in place. Utilizing our proprietary GovExpert database, GSE will provide customized bid opportunities from various Federal, State and Local governmental agencies via email; access to marketing and research information; government contract award history as well as upcoming and expiring contract information. Following execution of the complimentary 30 day-trial, the client will be auto-billed $199 per month. Client may cancel at any time via email to [email protected] to discontinue membership. You will not be eligible for a prorated refund of any portion of your current monthly access fee. All fees paid prior to cancellation or termination are non-refundable.

Terms of Use

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information) may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to the technical requirements of connecting networks or devices.

In no case shall GSE, our directors, officers, employees, affiliates, agents, contractors, interns, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service.

You agree to indemnify, defend and hold harmless Government Services Exchange and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms and Conditions.

If any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed.

These Terms and Conditions and any separate agreements whereby we provide you our services shall be governed by and construed in accordance with the laws of 2651 Mccormick Dr, Clearwater, FL 33759.
